Terms of Service
The short version
- QuxPerks is free for startups; claiming offers and requesting partner perks need a free account.
- Partners decide every offer. Our summaries help, but the partner's terms always win.
- Partner perks we provide are at our discretion, for your startup only, and never to be shared or resold.
- The directory is our work: browse it and use it for your startup, but do not scrape, republish, train on or rebuild it.
- We may change offers, features and these Terms; material changes come with notice.
1. Who we are and this agreement
QuxPerks is operated by QuxKit Inc. (“QuxPerks”, “we”, “us”), of Dallas, Tx. These Terms of Service (“Terms”) are an agreement between you and us about your use of the QuxPerks website, member accounts, partner perks, and the programmatic interfaces we offer (together, the “Service”).
By creating an account you confirm you have read and agree to these Terms and our Privacy Policy. By browsing without an account you agree to the parts of these Terms that apply to browsing, in particular section 5. If you use the Service for a company, you agree for that company and confirm you may bind it.
You must be at least 18 years old and using the Service to start, run or research a business. The Service is not for personal consumer purchases.
2. What the Service is — and is not
QuxPerks is a curated directory of offers that third-party companies (“partners”) make to startups: credits, discounts, free tiers, programs, grants and services. We research each offer, summarise it, and show the date we last checked it against the partner's own page.
- The partner's terms govern every offer. Our summaries are for convenience. Offers, amounts and eligibility change without notice to us, and the partner's own page always wins over ours.
- We do not guarantee any offer — that it is still available, that you are eligible, or that a partner will accept you. Partners decide.
- We are not a party to your agreement with any partner, and we are not affiliated with a partner unless we say so.
- Nothing on the Service is legal, tax, accounting, investment or financial advice. Talk to a qualified professional before relying on it for a decision.
3. Your account
An account is free. Claiming any offer, saving offers, and requesting partner perks require one. Keep your sign-in details confidential; you are responsible for activity under your account and must tell us promptly at [email protected] if you think it has been misused.
Give us accurate information, including in your startup profile, and keep it current. One person per account; do not create accounts by automated means or to get around a suspension. Your startup profile matters: when you request a partner perk, we rely on it to vouch for you (section 4).
4. Partner perks we provide as your accelerator
For some offers, a partner only grants the perk through an accelerator, investor or partner program. Where we hold that relationship, members can ask us for the perk (an organisation ID, promo code, referral link or introduction — a “Perk”).
- Perks are granted at our discretion. We review each request against the partner's criteria and our own, and may decline, delay or withdraw a Perk without giving reasons.
- A Perk is for your startup only. It is personal, confidential and non-transferable. Do not share, publish, sell, trade or reuse it for another company, and do not request one for a company that does not meet the partner's criteria.
- Misrepresentation ends it. If information you gave us was inaccurate, or you misuse a Perk, we may revoke it, tell the partner, and close your account.
- Partners can change or end a Perk at any time, and our relationship with a partner may end. We are not responsible for a partner's decision.
5. Our curation, and what you may do with it
The directory is our work. Its selection and arrangement of offers, our summaries and descriptions, our eligibility notes, categories, value rankings, verification dates, partner and program data, and the look of the Service (together, the “Curation”) are owned by us or our licensors and protected by copyright, database and unfair-competition laws, and as confidential information where not public.
Your licence
We give you a limited, personal, revocable, non-exclusive, non-transferable licence to view the Curation and use it to find and claim offers for your own startup. Everything not expressly granted is reserved.
What you may not do
Unless we agree in writing, you may not, and may not help anyone else to:
- scrape, crawl, spider, harvest or otherwise collect the Curation by automated means, or download or copy it in bulk;
- reproduce, republish, redistribute, sell, license or display a substantial part of the Curation — or repeated insubstantial parts that add up to one — anywhere else, including in a newsletter, spreadsheet, website, app, community or course;
- use the Curation to build, train, fine-tune, evaluate or supply a directory, database, dataset, search product, recommendation system, or artificial-intelligence or machine-learning model;
- frame, mirror or cache the Service, or present the Curation as your own;
- get around a limit we place on access — the sign-up needed to claim, members-only details, perk review, rate limits, or any technical measure — or share members-only content, codes or links with people who are not members;
- use the Service to compete with us, or to benchmark or copy it for a competing service;
- remove our notices or attribution, probe or test the Service's security, overload it, or reverse engineer it except where the law allows despite this restriction.
What remains allowed
- Sharing a link to an offer page, or quoting a short excerpt with a link back and credit to QuxPerks.
- General-purpose search engines indexing public pages as our robots.txt allows, to send people to the Service.
- Using our programmatic interfaces (including the MCP endpoint) for your own startup's research, within the rate limits we set, without storing or reusing the results beyond that use. We may limit, change or withdraw that access at any time.
Breach of this section ends your licence immediately. Because damages may not be an adequate remedy for misuse of the Curation, we may seek an injunction in addition to anything else the law allows.
6. We can change the Service and these Terms
We may add, change, reorder, suspend or remove offers, partners, categories, features and eligibility at any time, including to keep the directory accurate, and we may stop offering all or part of the Service.
We may update these Terms. The version and date at the top will change. For a change that materially reduces your rights we will give reasonable notice by email or on the Service before it takes effect. If you keep using the Service after a change takes effect, the updated Terms apply; if you do not agree, stop using the Service and you may close your account.
7. How we are paid, and how we rank
The Service is free for startups. Some partners pay us a commission or referral fee when you sign up through our link; those links are labelled. We may also list products made by our own team, which are labelled as such. Our ranking and disclosure practices are described on how we earn money, and that page forms part of these Terms.
8. Feedback and reports
If you send us feedback, suggestions or reports about an offer, you give us a perpetual, worldwide, royalty-free licence to use them to run and improve the Service and the Curation, without obligation to you. Do not send us anything confidential or that you do not have the right to share.
9. Partner sites and third parties
Offers link to partners' websites and services. We do not control them, and your use of them is under their terms and privacy policies, at your own risk. Any dispute about an offer, a purchase, a perk or a partner's service is between you and the partner.
10. Disclaimers
The Service and the Curation are provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including accuracy, completeness, availability, merchantability, fitness for a particular purpose and non-infringement, and any warranty that an offer is current, that you qualify for it, or that a partner will honour it.
11. Limitation of liability
To the fullest extent the law allows, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill or business opportunity, arising from the Service, the Curation, any offer, any partner, or any Perk. Our total liability for all claims relating to the Service is limited to the greater of the amount you paid us in the twelve months before the claim and one hundred US dollars.
Some places do not allow some of these limits; where they do not, they apply to the extent the law permits. Nothing in these Terms limits liability that cannot be limited by law.
12. Your responsibility to us
You will defend and indemnify us, and our officers, employees and agents, against claims, losses and costs (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Curation or a Perk, or information you gave us that was inaccurate.
13. Suspension and termination
You can stop using the Service and ask us to close your account at any time. We may suspend or close your account, or restrict access to the Service, at any time and without notice, including if we reasonably believe you have breached these Terms or put a partner relationship at risk.
Sections 5, 8, 10, 11, 12, 14 and 15 continue after your account ends, as does anything else that by its nature should.
14. Governing law and disputes
These Terms are governed by the laws of The State of Texas, without regard to conflict-of-law rules. The courts of Dallas County, Texa have exclusive jurisdiction, and you and we consent to them; either of us may still seek an injunction anywhere to protect intellectual property or the Curation.
Before starting a formal dispute, please contact us at [email protected] and give us 30 days to try to resolve it.
15. General
These Terms, the Privacy Policy and the disclosure page are the whole agreement between you and us about the Service. If a provision is unenforceable, the rest still applies and that provision is enforced to the fullest extent allowed. Our not enforcing a right is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, acquisition or sale of assets.
Questions about these Terms: [email protected].
